Bylaws of the United States Naval Academy Class of 1978

Article I
  Class Organization

Section 1.1 Powers. The Class of 1978 Class Organization (“Class”) may perform all actions necessary, convenient, or expedient to carry out the purposes for which it is formed, subject to all limitations imposed by law, these Bylaws, and the Class Charter.

Article II
  Membership

Section 2.1 Automatic Membership. Membership in the Class shall be automatic for any person who took the Oath of Office with the Class of 1978 of the U.S. Naval Academy. Those who graduated from the U.S. Naval Academy in the Class of 1978 are considered “graduate members” of the Class. Those who were at any time a member of the Class of 1978 of the U.S. Naval Academy but did not graduate with the Class will be considered “non-graduate members” of the Class. 

Section 2.2 Honorary Membership. With regard to Honorary Membership in the Class: 

  1. Upon their death, the widow of a member of the Class shall become an Honorary Member of the Class provided she and the Class Member were legally married and not separated or otherwise estranged at the time of his death;
  2. Upon the nomination of any candidate to be an Honorary Member of the Class by any member of the Class, the Board of Directors (“Board”) shall consider such nomination at its next meeting called pursuant to these Bylaws and shall upon a concurring vote of 2/3 of its members present, shall declare the candidate to be an Honorary Member of the Class and inform the Class;
  3. An Honorary Member shall have all rights of a member of the Class except that an honorary member shall have no power to vote in Class affairs, nor hold office in the Class;

Section 2.3 Responsibilities of Class Members. All members of the Class are encouraged to support the objectives of the Class Charter and shall, on a voluntary basis: 

  1. participate in Class activities, especially the Quinquennial (every five years) Reunions and annual Meetings of the Class;
  2. be responsible, whether they are members of the Naval Academy Alumni Association or not, for maintaining their personal profile, which includes contact information (address, electronic address, etc.) with the Naval Academy Alumni Association (this information is typically found on the Association’s website and may be kept confidential) and the Class website;
  3. support the local Naval Academy Alumni Association Chapter located nearest their residence;
  4. contribute to the fundraising goals of the Class and/or the Naval Academy Alumni Association; and
  5. keep the Class informed, through the Secretary and/or their Company Representative, of any personal news that may be of interest to other members.

Section 2.4 Loss of Membership. Generally, the term of membership shall be for life; provided, however, that: 

  1. any member may resign at any time by written notice submitted to the Class Secretary; 
  2. any member may be suspended or expelled for cause–after a hearing at which the subject member may attend and present evidence– by the affirmative vote of two-thirds (2/3) of the entire Board; and, 
  3. any person eligible for membership who is terminated from the military or federal service of the United States under conditions other than honorable, or who is convicted in a court of law of a felony, or a crime of moral turpitude, shall be disqualified from membership or, if a member, shall be expelled from membership.

Article III
Officers

Section 3.1 Class Officers/Board. The officers of the Class (Class Officers) shall consist of a President, Vice President, Secretary, Treasurer, and five Members-at-Large. These nine Class Officers shall constitute the Class Board. 

Section 3.2 Responsibility. The responsibility for the management of the affairs of the Class shall be vested primarily in the Board. All members of the Board will abide by the Conflict of Interest Policy outlined in Appendix A. 

Section 3.3 Qualifications to Serve as a Class Officer. A Class Officer shall be:

  1. a graduate member of the Class and a life member of the U.S. Naval Academy Alumni Association;
  2. elected by a plurality vote pursuant Article VI of these Bylaws and shall hold office for a term of five years, except as provided by these Bylaws; and
  3. eligible to be reelected. 

Section 3.4 Duties of the President. The President shall:

  1. lead the Class and serve as the Chair of the Board;
  2. direct the meetings of the Board and of the membership when present at such meetings;
  3. be authorized to sign all instruments necessary or expedient to the management of the Class;
  4. have the power to originate all committees which are deemed necessary by the President in carrying out the functions of the President’s office or the offices of any member of the Board;
  5. have the power to nominate any member who fulfills the necessary requirements as set forth herein to fill any vacancy or vacancies which may occur in the Board during the President’s term of office, which nomination shall be presented to the Board and the Board shall vote on such nomination, and upon acceptance by the majority, such person shall be named to fill such vacancy for the duration of the term of the office vacated. If the nomination shall be rejected by the Board, the President shall offer additional nominations until the vacancy is filled by a nominee acceptable to the Board in the manner set forth herein;
  6. represent the Class as a member of the Council of Class Presidents (COCP), an organization that is supportive of the United States Naval Academy Alumni Association & Foundation. Such duties on this council are governed by the Council of Class Presidents Charter. If in the course of service on the COCP the President is unable to attend a meeting, the President shall ensure that a fellow member of the Class Board is designated to attend in the President’s place. Additionally, the Class President, while serving as a member of the Council of Class Presidents, may be selected to serve as the 1970’s Decade Representative from the Council to the U.S. Naval Academy Alumni Association’s Board of Trustees. If the Class President is serving in this capacity and shall be replaced in a Class Election, the term of the incoming Class President shall commence immediately, and the new President will be a voting member of the Council of Class Presidents in accordance with the COCP Charter. The outgoing Class President’s tenure on the Alumni Association’s Board of Trustees will be governed by the COCP Charter and the Alumni Association’s Board of Trustees’ Bylaws.

Section 3.5 Duties of the Vice President. The Vice President shall: 

  1. in the absence of the President perform duties as delegated by the President;
  2. have all powers vested in the President in the event of incapacity of the President; and;
  3. succeed to the office of the President in the event of a vacancy occurring in that office; provided that in such event the Vice President shall be limited by the remaining term of the Vice President’s elected office, at which time an election will be held for the new President.

Section 3.6 Duties of the Secretary. The Secretary shall: 

  1. be responsible for maintaining a roster of names, addresses, and other contact information for members of the Class;
  2. be responsible for transmission of Class news through Shipmate magazine, the Class Website, or other suitable means;
  3. be responsible for the general administrative functions of the Class and maintenance of class records as set forth in these Bylaws;
  4. ensure an accurate account of all proceedings of the official meetings of the Class is maintained and made available to other members of the Class; and’
  • temporarily succeed to the office of Vice President in the event of a vacancy occurring in that office until such time as a successor is appointed in that office; provided that in the event that the offices of President and Vice President are vacant during the same period, the Secretary shall succeed directly to the office of President to serve in that office for the remainder of the term of the Secretary’s elected office, and shall have all the powers and shall assume all duties of that office.

Section 3.7 Duties of the Treasurer. The Treasurer shall: 

  1. be responsible for the general financial activity of the Class as set forth in these Bylaws;
    1. maintain accurate and current records of the funds of the Class, which records shall be presented on demand of the President, Vice President, or Secretary, or upon written demand of any five members of the Class;
  2. submit a financial statement for the previous year and a projected budget for the forthcoming year for approval by the Board;
  3. advise the Class of the financial status of the Class, at least annually; and,
  4. cause state and/or federal annual income tax reports to be filed annually with the respective state government and the federal government, as necessary.

Section 3.8 Duties of the Members-at-Large. The Members-at-Large shall perform such duties and functions as assigned by the President or the Vice President, if acting in the capacity of the President.

Section 3.9 Duties and Qualifications of the Company Representative. With regard to Company Representatives:

  1. Company Representatives, when required for the administration of Class business, will act as a direct link between Class members and the Board of Directors. The Company Representatives will also facilitate intercompany communications.
  2. Each company, defined as that organizational unit of the same name at the Naval Academy from which members of the Class were assigned for their academic tenure, will choose one Company Representative by a method determined in each individual company. An alternate Company Representative will be chosen in the same manner. Names and addresses, including electronic addresses, of both Company Representatives will be forwarded to the Secretary.
  3. Each Company Representative will have the following responsibilities:
  4. keep the Secretary informed of the Company Representative’s and the alternate Company Representative’s address (including electronic addresses);
  5. assist the Naval Academy Alumni Association with contact information for members of the Company Representative’s company. It is each member’s own responsibility to maintain their contact information with the Alumni Association. The Alumni Association maintains the official contact information for all persons who have attended the Naval Academy, and that information is available to all members (though the individual may keep any or all of that information confidential);
  6. forward to the Secretary any other news of interest to the Class;
  7. apprise the Board of Directors of any issues that merit the Board’s attention; and
  8. pass down news and information promulgated by the Board.
  9. Company Representatives serve voluntary five-year terms that run between Quinquennial Reunions. Company Representatives will be contacted promptly after each Quinquennial Reunion to confirm their status for the next five-year term. When a Company Representative no longer desires the responsibility of the Company Representative position, or if the members of the company represented vote, the alternate shall become the Company Representative, and a new alternate selected.

Article IV
Class Meetings

Section 4.1 Annual Meetings.  Class meetings will be held annually, normally in the first quarter of each calendar year. The agenda for such meetings, which shall include a question and answer session, will be established by the Class President. These meetings may be conducted live, virtually, or a combination of both methods per the discretion of the Class President.

Section 4.2 Quinquennial Meeting. The Quinquennial Meeting of the Class shall be held during the Class’s five-year Reunion Weekend; however, this date may be altered by the Board when, in the discretion of the Board, such date is not deemed appropriate or expedient. The Quinquennial Meeting of the Class shall be in addition to the annual meeting held in the first quarter of every year.  

Section 4.3 Special Meetings. Special meetings of the Class may be held at such time and place as the President or the Board shall determine. A special meeting will also be called upon a petition submitted to the Board and signed by not less than twenty members of the class.  Such petition shall specify the purpose of the special meeting.

Section 4.4 Notice of Meetings. Notice of Class meetings shall be published in Shipmate magazine by the Secretary and posted on the Class website not less than sixty calendar days preceding the date set for such meeting; provided, however, that in the event that the Secretary notifies members of the Class by postal mail or electronic mail, such notification shall be deemed adequate if posted within thirty days preceding the time set for such meeting. As practicable, a meeting agenda shall be included, and the Class shall be provided an opportunity to propose agenda items.

Section 4.5 Quorum. A quorum for the purposes of conducting a meeting shall consist of a majority of the members of the Board, and no less than twenty members of the Class (inclusive of Proxy Votes per Section 8 of this article). The Board may alter this requirement in the event of unusual circumstances with a supermajority vote. In no event, however, will a Class meeting be conducted with less than twenty members prior to the 60th Reunion or until the number of living members of the Class is less than 100.Beginning with the 60th Reunion, a quorum will be defined as a majority of Class Officers in attendance and “78 minus the years since graduation” of members in attendance, but never less than ten members total. 

Section 4.6 Order of Business. The order of business at any meeting of the Class shall be determined by the Class Officer presiding at such meeting, but shall, insofar as practicable, conform to standard parliamentary procedure.

Section 4.7 Voting Power. Each member present shall be entitled to one vote at any meeting of the Class except as provided in Section 8 of this article. Each member is entitled to one vote for the purposes herein provided. The presiding officer shall not be entitled to vote except in the case of a tie vote.

Section 4.8 Proxy Vote. Any member of the Class wishing to have the member’s vote cast by proxy must send a letter or email notification to the person the member wishes to cast the member’s proxy vote and a copy of the letter or email notification to the Secretary authorizing that person to cast the member’s vote.

Section 4.9 Voting by Electronic Means. From time to time, special circumstances may arise where a vote of the Board or the Class is necessary before a meeting can be held. In such cases, the President or the Board may authorize a vote by electronic means to be conducted. A vote may be held by email, in which case the Secretary or a Chair-designated Board member will receive the votes and report the results to the Board. Vote integrity must be assured in a manner specified for that vote. A provision for any member of the Board or Class who is unable to vote by electronic means shall be made available when practical.

Article V
Board Meetings

Section 5.1 Times and Purpose. Meetings of the Board shall be held at the call of the President or Vice President at such times and places (in-person and/or video teleconference) as may be necessary to carry out the duties and functions of the Board. In addition, any member of the Board may request a meeting of the Board through correspondence with the President or Vice President.

Section 5.2 Notice. Notice of the time and place of the meetings of the Board shall be given to the Board by the Secretary at least ten days prior to such meeting and shall contain in substance the purpose of the meeting.

Section 5.3 Quorum. A majority of the members of the Board shall constitute a quorum.

Article VI
Nomination and Election of Class Officers

Section 6.1 Nominating and Election Committee – Duties and Qualifications. The Nominating and Election Committee (Committee) for Class Officers shall consist of three members of the Class and shall be appointed by the Board as early in the year of the quinquennial election year as practicable. Members of this committee shall not be candidates for Class office. A chairman from among the three members will provide overall coordination of the Committee and the Class election. 

The names and contact information of the Committee shall be posted on the Class Website, together with the deadline for submitting nominations for the forthcoming election (which deadline will be no earlier than sixty days after the Committee members’ names and contact information have been posted on the Class Website). 

Qualified members of the Class wishing to serve in an elected office shall contact a member of the Committee to place their name in nomination. A member of the Class may also nominate another qualified member of the Class for any elected office. The Committee will determine the eligibility of each candidate, and for those candidates nominated by another, determine if they are willing to serve. 

In no case will a person be placed on the ballot who is not qualified or not willing to serve in an elected position. The Committee shall report the nominees for each office to the President and Secretary at least two months prior to the election to allow for promulgation to the Class via email and the Class Website.  The Committee may also promulgate the slate by social media.

Section 6.2 Candidates.  A classmate shall be deemed an eligible candidate if they meet the qualifications set in Section 3.3a and are willing to serve.

Section 6.3 Candidate Communications. When the slate of nominees is announced, the names shall be posted on the class website with the candidate’s graduation photo and a candidate statement no longer than 500 words.

Each candidate shall be entitled to one class wide email at the time of their choosing between the time the slate is announced, and voting commences.

Blast communications of any size by candidates to campaign for themselves are prohibited and by a classmate to campaign for another classmate are discouraged.

Section 6.4 Elections. The Class Officers shall be elected in accordance with these Bylaws by the members of the Class as hereinafter provided. A plurality of all votes cast shall be sufficient for election. The term of office shall commence at the conclusion of the Class meeting in the year of the election. The specific method of casting ballots for the election shall be determined by the Committee. The principal means of voting shall be electronic, however, the Committee has the authority to utilize manual voting by postal mail if necessary. 

Section 6.5 Ballots. The ballot for Class Officers shall contain the names of all nominees in alphabetical order according to office, without distinction as to the method of nomination. In addition to the name, the candidate’s graduation photo and his candidate statement shall also be included.  The ballot shall also contain space for write-in candidates. Any write-in candidate who receives a plurality of the vote must be eligible for that office and must be willing to serve; if he is not eligible or not willing to serve, those votes shall be eliminated, and the winner shall be determined by whoever has the plurality of the remaining ballots.

Section 6.6 Voting. Ballots shall normally be cast by Class Members during a two-week period within two months of the Quinquennial Meeting of the Class. The Committee shall ensure strict confidentiality of all votes. The members of the Committee shall normally be designated to receive all ballots via electronic mail or other means devised by the Committee during this period and not later than one week preceding the date set for the Quinquennial Meeting in the election year.

Section 6.7 Tallying the Votes. The Committee will gather all ballots before the Quinquennial Meeting and count the ballots. The Secretary shall provide the Committee with a current Class listing to verify membership in the Class. The validity of any ballot will be determined solely by the Committee. The Chairman shall report the results as soon as possible to the President, Vice President, and Secretary. The President shall announce the results of the election at the meeting of the Class as the first agenda item under New Business.

Section 6.8 Plurality. A plurality of votes cast is sufficient to elect a candidate. In the case of a tie vote, the election shall be decided by a plurality of votes cast by Class members attending that year’s annual Class meeting.

Article VII
Voting Subjects

Section 7.1 Membership Vote. The Board shall submit to a vote of Class members such propositions as it deems necessary, and shall submit to a vote of Class members all propositions required under the provisions of these Bylaws.

Section 7.2 Mandatory Voting Subjects. The Board shall submit to a vote of Class members the subject matters of any petition signed by not less than twenty Class members, if such petition requests such action. Petitions requiring a vote will normally be voted upon at the next Class meeting, provided that the subject matter does not in the opinion of the petitioners require immediate action, in which case the subject matter of the petition shall be submitted to Class members for electronic vote. 

Section 7.3 Vote to Carry Proposition. Except as otherwise provided in these Bylaws, an email vote of the members shall be determined in accordance with the plurality of those responding.

Article VIII
Class Funds

Section 8.1 Method of Appropriation of Funds. A majority vote of the Board shall be required to appropriate funds for the Class; provided, however, that no funds shall be appropriated where the method of appropriation is contrary to the purposes and objectives of the Class as set forth in the Class Charter.

Section 8.2 Expenditures. Funds for normal operating expenditures other than investments may be authorized by a majority vote of the Board. Expenditure of invested funds may be made by a three-fourths concurring vote of the Board. The expenditure of any funds belonging to the Class shall not be in derogation of the purposes and objectives of the Class as set forth in the Class Charter; provided, however, that nothing herein shall prevent payment in good faith of remuneration to any Class member or other person for services actually performed for the Class, where such services are of a nature that normally require remuneration.

Article IX
Amending Processes

Section 9.1.  Amendment of the Class Charter. The Class Charter may be amended as proposed by the Board or upon a petition to the Board signed by twenty Class members, or five percent of Class members, whichever is less.

Such petition shall set forth the particular portion of the Charter to be amended and the proposed amendment corresponding thereto.

The Board shall cause the subject matter of the petition to be posted on the Class Website and shall electronically notify each member, to the maximum extent practicable, for the purposes of voting on the proposal within sixty days after posting of the petition on the Class website.

A vote of two-thirds of the Class members responding (either electronically or in person at a Class meeting) is necessary for amendment of the Class Charter.

Section 9.2 Amendment of the Class Bylaws. Except as otherwise provided herein, the Class Bylaws may be amended as determined by a two-thirds vote of the Board or in the manner provided in the foregoing section for amendment of the Class Charter.

Article X
Dissolution

Section 10.1 Dissolution. This organization is dissolved upon the death of the last Class member of the United States Naval Academy Class of 1978. Upon dissolution of this organization, assets shall be distributed equally to the United States Naval Academy Foundation if that organization is tax exempt under IRS section 501(c)(3) at the time of dissolution, and the Class of 2028. If the United States Naval Academy Foundation is not tax exempt under IRS section 501(c)(3) at the time of dissolution, then that portion of the assets will be distributed to the Federal Government for use to support United States Navy and Marine Corps families.

Article XI
Enactment

Section 11.1 Enactment. These revised Bylaws shall supersede the previously effective Bylaws and will be considered as adopted and in effect as of five business days after the Board has voted in support of these revised Bylaws in accordance with Article IX of the prior Bylaws.

Appendix A: The United States Naval Academy Class of 1978

Conflict of Interest Policy

Article I

Purpose

The purpose of this conflict of interest policy is to protect the Class when it is contemplating entering into a transaction or arrangement that might benefit or have the appearance to benefit the private interest of an Officer, Member-at-Large, or member of a committee with governing board delegated powers: or which impairs or might appear to impair one’s independent judgment in the discharge of responsibilities to the Class. 

A conflict of interest may also arise whenever a Member of our Class governance may obtain a material benefit from knowledge or information that is confidential to our Class governance.

The individuals identified above have a fiduciary responsibility to the Class in connection with their Class governance service. They shall act in a manner consistent with that fiduciary obligation and exercise particular care that no detriment to the Class (or appearance of such detriment) may result from a conflict between Class interests and any personal interests.

This policy is intended to supplement but not replace any applicable state and federal laws governing conflict of interest applicable to nonprofit and charitable organizations.

Article II

Definitions 

Interested Person. Any Class Officer, Member-at-Large or member of a committee with governing board delegated powers, who has a direct or indirect financial interest, as defined below, is an interested person.

Financial Interest. A person has a financial interest if the person has, directly or indirectly, through business, investment, or family: 

  1. An ownership or investment interest in any entity with which the Class has a transaction or arrangement.
  2. A compensation arrangement with the Class or with any entity or individual with which the Class has a transaction or arrangement.
  3. A potential ownership or investment interest in, or compensation arrangement with, any entity or individual with which the Class is negotiating a transaction or arrangement.
  4. Compensation includes direct and indirect remuneration as well as gifts or favors that are not insubstantial.
  5. A financial interest is not necessarily a conflict of interest. Under Article III, Section 2, a person who has a financial interest may have a conflict of interest only if the appropriate governing board or committee decides that a conflict of interest exists.

Official Relationship.  This includes employment with an entity that is–or is contemplating– doing business with the Class. It includes being an owner, shareholder, officer, director, or trustee of an entity that is–or is contemplating–doing business with the Class.

Family. “Family” includes a spouse, parents, siblings, children, and others living in the same household.

Article III

Procedures

Duty to Disclose. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the Board which will consider the proposed transaction or arrangement.

Determining Whether a Conflict of Interest Exists. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he shall leave the Board while the determination of a conflict of interest is discussed and voted upon. The remaining Board members shall decide if a conflict of interest exists.

Procedures for Addressing the Conflict of Interest.

  1. An interested person may make a presentation at the Board meeting, but after the presentation, he shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving a possible conflict of interest.
  2. The Chair of the Board shall, if appropriate, appoint a disinterested person to investigate alternatives to the proposed transaction or arrangement.
  3. After exercising due diligence, the Board shall determine whether the Class can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest.
  4. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the Board shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the Class best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement. 
  5. If it is determined that a Class Officer has a conflict of interest regarding an issue before the Board, that officer shall be recused on that issue from further discussion or votes.

Violations of the Conflicts of Interest Policy.

  1. If the Board has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose.
  2. If, after hearing the member’s response and after making further investigation as warranted by the circumstances, the Board determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

Article IV

Records of Proceedings 

The minutes of the Board shall contain:

  1. The names of the persons who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict of interest, the nature of the financial interest, any action taken to determine whether a conflict of interest was present, and the governing board or committee decision as to whether a conflict of interest in fact existed.
  2. The names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection with the proceedings.

Article V

Confidentiality of Information

Class officers, members-at-large, and members of a committee with Board delegated powers shall not disclose any material non-public information with respect to Class governance, its operations, finances, or internal matters. They shall not disclose any confidential information obtained in the course of Class governance matters and activities. Personal information of 1978 Class members must be treated with the highest level of respect and confidentiality.

Article VI

COI Statements 

Each class officer, members-at large, and members of a committee with Board delegated powers when appointed shall sign the statement below (and annually thereafter if still in the position) which affirms such person:

  1. Has received a copy of the conflicts of interest policy,
  2. Has read and understands the policy,
  3. Has agreed to comply with the policy, and,
  4. Understands the Organization is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes.

Conflict of Interest Acknowledgment Statement 

I, the undersigned, being a Class Officer or Committee Member with Board delegated powers hereby state that to the best of my knowledge except as noted below: 

  1. I do not have an official relationship (as defined in Article II: Conflict of Interest Policy) with any corporation, partnership, or association that transacts business with the Class.
  • I, as an individual, do not transact any business, directly or indirectly, with the Class, other than normal class member services (reunion events and merchandise). 
  • Additionally, no member of my family (as defined in Article II: Conflict of Interest Policy) has an official relationship with any corporation, partnership, or association that transacts business with the Class. 

List below any potential or actual conflicts of interest that may exist at this time:

I agree to answer any questions the Board may have with respect to any actual or potential conflict of interest, but I understand that all such information will be held in confidence by the members of the Board, unless the best interests of the Class dictate otherwise and a majority of the members of the Board vote in favor of further disclosure.

  2. One comment re: Dissolution: When that last classmate expires, how will NAAA know and who will carry out the funds transfer per the bylaws? I assume that has been addressed by other means, but just wanted to put the thought out there for consideration.

  3. Nice job, guys! Really appreciate the effort. No substantive comments on the new bylaws. One typo in 3.3b? “elected by a plurality vote pursuant Article VI of these Bylaws and shall hold office for a term of five years, except as provided by these Bylaws; and” should read, “elected by a plurality vote pursuant TO Article VI of these Bylaws and shall hold office for a term of five years, except as provided by these Bylaws; and” (EMPHASIS added by me so you can see where the change was made).
